Skanem AS has entered into an agreement to acquire 100% shares in packaging producers Bergen Plastics AS and Heger AS.

Stavanger-based Skanem has a century-long history in the packaging and labelling market. During the last years, the Group have focused on labels and product decoration in Europe, Asia and Africa. In 2021, the Group divested their businesses in Europe and Thailand, retaining its presence in India and East Africa.

First step in an acquisition strategy
In 2022, the Group announced their strategy to invest in the European market for sustainable packaging. Skanem is now taking the first step in an acquisition strategy to re-enter the European packaging market by acquiring Bergen Plastics AS and Heger AS.

“Skanem’s strategy is to take an active role within sustainable packaging. We are therefore very happy to have found two well-established and profitable packaging producers in Norway. They have shown to be competitive both within and outside Norway thanks to a skilled workforce, a “hands-on” management and a modern and efficient production.”, says Ole Rugland, Executive Chairman of Skanem Group.

Bergen Plastics AS, located in Bergen, has a portfolio of thin-wall plastic packaging, ranging from containers, lids and closures, and is primarily serving the home care and food markets. Heger AS, located in Rjukan, offers a complete portfolio of laboratory consumables to hospitals, the food industry and universities. They also produce laminated tubes for food and personal care. Both companies have a proven performance of supplying the most demanding customers in the market.

Multiple growth possibilities
As new packaging regulations and requirements come into force, the need for innovation and sustainability is stronger than ever. Choosing the right material based on the product’s use and life cycle will also be crucial. Skanem sees this as an opportunity to make a difference.

“Both Bergen Plastics and Heger have multiple growth possibilities, through the development of new products and new customers. It will be key to target applications where plastic is the only or best solution. We also see the possibility to make a difference by making plastic packaging more sustainable.”, adds Maryne Lemvik, CEO of Skanem Group.

The family-owned company Bergen Plastics AS is currently managed by CEO Jan-Atle Ellingsen. The daughter company Heger AS is managed by managing director Tom Mårtensson. The current management of the two companies will continue under the ownership of Skanem.

“Skanem has a broad experience in the packaging industry and a history of adapting to market trends. It is exciting that Skanem has chosen to continue this journey with Bergen Plastics and Heger on board. I am confident that Skanem’s ambition and long-term commitment will benefit our employees and customers”, says Jan-Atle Ellingsen, Bergen Plastics CEO and current co-owner.

The acquisition is expected to close in the fourth quarter of 2023. Oaklins Norway AS has acted as Skanem’s adviser during the transaction process.
